PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE OR PURCHASING ANY ARTWORK. BY ACCESSING, BROWSING, OR MAKING A PURCHASE THROUGH THIS WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY ALL CLAUSES SET FORTH BELOW.
1. Definitions and Scope
Throughout this document, the terms "we", "us", "our", and "Artist" refer exclusively to Parul, the original creator and artwork owner. "Website" refers to all accessible web assets hosted under this domain. "User", "Client", "Buyer", and "you" refer to any visitor, vendor, customer, or transacting party. "Infrastructural Parties" refers to the website developers, designers, technical maintainers, and third-party hosting providers (including but not limited to Cloudflare, Inc., payment processors, and global content delivery networks).
2. Absolute Limitation of Liability & Waiver of Claims
This section severely limits our legal exposure. Please review carefully.
To the maximum extent permitted by applicable law, in no event shall Parul (the Artist/Owner), the website designer, the developer, or the host (Cloudflare) be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever.
This blanket exemption covers, without limitation, damages for loss of profits, emotional distress, goodwill, data, financial loss, digital vulnerabilities, or other intangible losses arising from or relating to:
- The use of, or inability to securely access or use, this website;
- Any transactional errors, security breaches, system outages, data corruption, or malicious software infections;
- The transit, handling, delivery, condition, framing, preservation, or long-term structural changes of physical artwork canvases;
- Any dynamic discrepancies in color calibration, texture perception, or scale display occurring across varying screen configurations.
This comprehensive shield operates globally and remains active regardless of whether the alleged legal liability is framed under contract, tort, negligence, strict product liability, or any other judicial theory—even if notified beforehand of the possibility of such damages.
3. Choice of Law & Exclusive Jurisdiction Lock
This Website is operated internationally but governed local to operations. You irrevocably agree that any claim, cause of action, dispute, mediation, or lawsuit arising out of or related to these Terms, the use of this Website, or transactions conducted herein, MUST be brought exclusively before a court of competent jurisdiction located inside the City of Mississauga, Ontario, Canada.
These Terms shall be interpreted strictly in accordance with the provincial laws of Ontario and the federal laws of Canada applicable therein, entirely disregarding any conflicting statutory choice-of-law principles. Users and Buyers waive any objections regarding inconvenient forum (forum non conveniens) or territorial jurisdiction, regardless of their native country, physical residency, or shipping address.
4. Intellectual Property & Digital Copyright Protection
All content displayed on this website, including digital photography of canvases, descriptive writing, site design, text configurations, and graphical custom arrangements, is the exclusive intellectual property of Parul and the respective website designer/developer.
Crucial Transfer Limitation: The purchase of a physical artwork canvas transfers ownership of the *physical artifact only*. It does not transfer any intellectual property, reproduction rights, or commercial distribution rights to the Buyer. The Artist retains the absolute, perpetual right to produce digital or physical reproductions, prints, or derivative promotional elements of the composition. Commercial exploitation, scanning, reselling of image prints, or corporate logo replication of the purchased canvas by the Client is strictly prohibited without formal written consent signed by Parul.
5. Sales Policy, Pricing, and Currency Standards
All monetary valuations, offers, invoices, and transaction amounts processed on this platform are listed strictly in Canadian Dollars (CAD). International clients are solely accountable for any domestic currency conversions, credit card foreign transaction fees, import tariffs, customs duties, or regional value-added taxations (VAT) levied by their home border security or financial networks. All original art sales are final; refunds or adjustments are not issued except at the exclusive discretion of the Artist.
6. Indemnification of Developers and Hosts
The client explicitly acknowledges that the website designer, the web developer, and Cloudflare (the host platform) provide only neutral software architecture and hosting distribution channels. You agree to defend, indemnify, and hold harmless these third-party developers, technical contractors, and hosting providers from any and all liabilities, legal expenses, attorney fees, or operational claims stemming from your interactions with the storefront, transaction completions, or external payment portals.
7. Severability & Modifications
If any individual provision, paragraph, or clause of these Terms is adjudicated by an Ontario court to be invalid, illegal, or completely unenforceable, that specific segment shall be severed from the document to the minimum extent necessary. The remaining clauses and protections shall remain fully integrated, valid, and enforceable across all jurisdictions. We reserve the absolute right to modify, adjust, or alter these terms without physical notice.
